Terms and Conditions
1. Object
EN: These Terms and Conditions govern the provision of services by MW Advocacy Solutions, a company registered in France.
FR : Les présentes Conditions Générales régissent la prestation de services fournie par MW Advocacy Solutions, société immatriculée en France.
2. Scope of Application
EN: These terms apply to all services provided by the Service Provider to professional clients. Any special terms must be expressly agreed in writing.
FR : Les présentes conditions s'appliquent à toutes les prestations de services fournies par le Prestataire à des clients professionnels. Toute condition particulière doit faire l'objet d'un accord écrit préalable.
3. Orders and Acceptance
EN: Services shall be provided in accordance with a written proposal accepted by the Client. Acceptance may be confirmed by signature, written approval, or commencement of the work.
FR : Les services sont fournis conformément à une proposition écrite acceptée par le Client. L'acceptation peut se faire par signature, accord écrit ou commencement d'exécution.
4. Prices and Payment
EN: Prices are stated in euros, excluding VAT. Invoices are payable within thirty (30) days of the invoice date, unless otherwise stated. Late payments may incur penalties in accordance with Article L441-10 of the French Commercial Code.
FR : Les prix sont exprimés en euros, hors TVA. Les factures sont payables dans un délai de trente (30) jours à compter de la date d'émission, sauf indication contraire. Tout retard de paiement entraînera des pénalités conformément à l'article L441-10 du Code de commerce.
5. Obligations of the Service Provider
EN: The Service Provider undertakes to perform the services with due care, in accordance with professional standards.
FR : Le Prestataire s'engage à exécuter les prestations avec diligence, conformément aux règles de l'art et aux normes professionnelles.
6. Client Obligations
EN: The Client agrees to cooperate actively and provide all necessary information and access for the proper execution of the services.
FR : Le Client s'engage à collaborer activement et à fournir toutes les informations et accès nécessaires à la bonne exécution des services.
7. Intellectual Property
EN: Unless otherwise agreed, all intellectual property rights related to deliverables remain the property of the Service Provider until full payment is received. MW Patient Advocacy Solutions retains the right to showcase the work in its portfolio unless otherwise agreed.
FR : Sauf disposition contraire, tous les droits de propriété intellectuelle relatifs aux livrables restent la propriété du Prestataire jusqu'au paiement intégral. MW Patient Advocacy Solutions se réserve le droit de présenter le travail réalisé dans son portfolio, sauf accord contraire.
8. Confidentiality
EN: Each party agrees to keep confidential all sensitive information disclosed during the term of the contract and not to disclose it without prior written consent.
FR : Chaque partie s'engage à garder confidentielles toutes les informations sensibles échangées pendant la durée du contrat et à ne pas les divulguer sans accord préalable écrit.
9. Limited Liability
EN: The Service Provider shall only be liable for direct damages caused by proven contractual breaches. In no case shall the total liability exceed the amounts paid by the Client in the last twelve (12) months. The Provider is not liable for indirect damages or loss of revenue.
FR : Le Prestataire est responsable uniquement des dommages directs causés par des manquements contractuels prouvés. Sa responsabilité totale est limitée aux sommes payées par le Client au cours des douze (12) derniers mois. Il ne pourra être tenu responsable des dommages indirects ou pertes de chiffre d'affaires.
10. Force Majeure
EN: Neither party shall be held liable for delays or failure due to events beyond their control, including but not limited to natural disasters, strikes, or governmental restrictions.
FR : Aucune des parties ne pourra être tenue responsable des retards ou inexécutions dus à des événements hors de son contrôle, tels que catastrophes naturelles, grèves ou restrictions gouvernementales.
11. Termination
EN: Either party may terminate the agreement in case of serious breach by the other party, after written notice remains unaddressed for thirty (30) days.
FR : Chaque partie peut résilier le contrat en cas de manquement grave de l'autre partie, après une mise en demeure restée sans effet pendant trente (30) jours.
12. Governing Law and Jurisdiction
EN: These terms are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Paris, France.
FR : Les présentes conditions sont régies par le droit français. Tout litige relèvera de la compétence exclusive des tribunaux de Paris, France.
